1. Parties and Subject
1.1. Parties: This Non-Disclosure Agreement (hereinafter the "Agreement") is entered into between New Epoch Association (hereinafter the "Disclosing Party"), represented by the Authorized Representative [SPECIFY DETAILS] under the Executive Act, and the Receiving Party [SPECIFY DETAILS].
1.2. Subject: The Parties exchange confidential information concerning [SPECIFY INFORMATION TOPIC] for the purpose of [SPECIFY PURPOSE OF EXCHANGE].
2. Confidential Information
2.1. Definition: "Confidential Information" (hereinafter "CI") means any technical, financial, scientific, commercial information or data disclosed by the Disclosing Party to the Receiving Party, or vice versa, in oral, written, graphic, or electronic form, marked as "Confidential" or "Proprietary." CI does not include information that is or becomes publicly available without breach of this Agreement.
2.2. Non-Disclosure Period: The obligation to maintain CI confidentiality shall remain in effect for [SPECIFY PERIOD, e.g., five (5) years] from the date of signature of this Agreement.
2.3. Exceptions: The Receiving Party shall not be liable for disclosure of CI if required by law, court order, or regulatory authority, provided the Receiving Party has given prior notice to the Disclosing Party.
3. Obligations of the Receiving Party
3.1. Protection: The Receiving Party agrees to use CI solely for the purposes specified in clause 1.2. and to apply the same precautions to protect CI as it employs for its own similar confidential information, but no less than a reasonable standard of care.
3.2. Access Limitation: Access to CI shall be granted only to employees or affiliates who have a strict need to know and who are also bound by confidentiality obligations.
3.3. No Rights: This Agreement does not grant the Receiving Party any ownership, license, or other rights in the CI.
4. Applicable Law and Dispute Resolution
4.1. Applicable Law: This Agreement and all related disputes, disagreements, or claims shall be governed and construed in accordance with the substantive law of Switzerland, without application of its conflict of law rules.
4.2. Exclusive Arbitration: Any disputes, disagreements, or claims arising out of or relating to this Agreement shall be finally resolved by mandatory arbitration in accordance with the "Arbitration Rules," which are incorporated by reference and form an integral part of this Agreement.
5. Effective Date
5.1. Effective Date: This Agreement shall enter into force as of the date of signature by the Parties.
5.2. Consistency: This Template is approved by the Association under the Governance Resolution. In the event of conclusion of a subsequent Grant and Intellectual Property Agreement, its provisions regarding the Public Domain shall prevail over this Non-Disclosure Agreement.
