1. General Provisions

1.1. Subject: This Executive Act (hereinafter the “Act”) is the legal mechanism by which the New Epoch Association (hereinafter the “Association”) carries out the appointment, termination, or modification of the authorities of a specific Authorized Representative of the Association (hereinafter the “Representative”).

1.2. Purpose: The Act provides flexible management of specific Mandates, linking the general authorities established in the “Mandate” document to a specific person, term, and budget.

1.3. Applicable Law: This Act is governed by substantive Swiss law. Lex Cryptographica (protocol code) is applied subsidiarily.

2. Appointment and Identification

2.1. Appointment: Hereby, the Association appoints the holder of the cryptographic address [CRYPTOGRAPHIC WALLET ADDRESS] as a Representative of the Association.

2.2. Mandate: The Representative is appointed to execute selectively activated powers from the Mandate.

3. Activation and Limitation of Authorities

3.1. Activated Authorities: The Representative is authorized to act exclusively within the following sections of the Mandate:

  • [SPECIFY AUTHORITIES, e.g., “2.1.1.1. Administrative Support,” and if necessary, SUPPLEMENT OR SPECIFY FURTHER, e.g., “concluding Service Agreements for domain name acquisition and Service Agreements for acquiring and maintaining a dedicated server for the website”].

3.2. Financial Limitations: The authorities are supported by a budget of [SPECIFY AMOUNT IN FT TOKENS, USD EQUIVALENTS, OR OTHER CURRENCY], allocated from the [SPECIFY FUND NAME] to cover reasonable and necessary expenses incurred within the scope of the Mandate authorities. This limitation applies to all transactions initiated by the Representative, regardless of funding source. Fund allocation is formalized by an on-chain transaction.

3.3. Term: The Representative’s authorities are granted for a term of [SPECIFY TERM, e.g., 3 months] from the effective date of this Act and automatically terminate upon expiration or upon reaching the Financial Limitation, whichever occurs first.

3.4. Tax Compliance: The Representative confirms awareness of and agreement with the Tax Compliance Policy terms, assumes exclusive responsibility for tax declaration and payment, and indemnifies the Association from secondary tax liability.

4. Termination of Authorities

4.1. Termination: The Representative’s authorities terminate upon any of the following events:

4.1.1. Expiration of the term specified in clause 3.3 of this Act.

4.1.2. Decision of the Association on termination of the Representative’s authorities adopted via successful on-chain voting.

4.1.3. Notification of voluntary resignation of authorities by the Representative delivered to the Association by on-chain transaction.

4.2. Exceptions: Termination of the Representative’s authorities under this Act does not affect their entitlement to indemnity for acts performed prior to termination date, provided such acts are not excluded under the Indemnity Agreement.

5. Acceptance and Entry into Force

5.1. Acceptance: This Act enters into force upon the date and time of successful completion of Voting with Qualified Confirmation, by which it was approved. Qualified Confirmation, as defined in the Governance Resolution, is the collective legal attestation of all requirements having been met.

5.2. Protection: From the moment of entry into force of this Act, all provisions of the Mandate Agreement and Indemnity Agreement automatically apply to the Representative, becoming effective simultaneously with this Act.
